If a business sells out in an asset sale and has Unamortized Goodwill from the original purchase of the business, and the sale results in Goodwill do the two Goodwill items offset each other on Form 4797? Is the previously amortized Goodwill subject to Section 1245 recapture?

Goodwill sold includes the purchased goodwill still on the books at the time of sale. Goodwill is not a 1245 asset.
